You are hiring us (Odyssey Design) to: Design a New Website as outlined in this agreement.
You: have the authority to enter into this contract on behalf of yourself, your company or your organization.
Deadlines work two ways, so you’ll be bound by dates we set together. In addition, we require all content in the form of text and images prior to design and development taking place. If you do not have text or images you agree to work with us to obtain proper materials to build your website. You also agree to stick to the payment schedule set out at the end of this contract.
After the first 15 days, we will expect to have gathered all working materials needed to complete your project. This includes all content, images, and videos. If these materials are not provided within the agreed upon timeline, you’ll need to communicate with us prior to the deadline to make proper arrangements.
Us: We have the experience and ability to do everything we’ve agreed with you and we’ll do it all in a professional and timely manner. We strive to meet every deadline that’s set and on top of that we’ll maintain the confidentiality of everything you give us.
Our hours of operation are Monday through Friday from 9 am to 5 pm cst. We also offer after-hours support for emergency issues only. Additional charges may apply to after-hour work if the work is out of the scope of your contract. Non-emergency correspondences will be answered during regular business hours only.
Us: The Designer agrees to produce project materials (the “Work”) at the request of the client for fees agreed upon in advance and delivery of the Work by an agreed- upon deadline. Designer agrees that he will be the sole author of the Work, which will be original work and free of plagiarism. Designer will cooperate with Client in editing and otherwise reviewing the Work prior to completion and launch.
Confidentiality: Designer acknowledges that he may receive or have access to information which relates to the Client’s past, present, or future products, vendor lists, creative works, marketing strategies, pending projects/proposals, and other proprietary information. Designer agrees to protect the confidentiality of the Client’s proprietary information and all physical forms thereof, whether disclosed to Designer before this Agreement is signed or afterward. Unless strict confidentiality is requested by Client in advance of the establishment of this contract, Designer can display materials and final work created for Client on the Designer’s website (https://odysseydesignco.com).
Company/Client Relationship: By hiring Odyssey Design Company, you agree to enter into a positive business relationship. We do not conduct any personal business outside of our signed contracts. Our company/client engagements are focused on your business, working hard to help you achieve business goals and complete your project with full satisfaction. Therefore, we maintain professional interactions ONLY to keep in line with the object of your project success.
While we maintain professional and courteous interactions with our clients, we expect clients to do the same. We do not tolerate disrespect in any shape or form. We follow a no-rush policy to ensure you get the highest quality results. We understand that your project is very important and we agree to treat it like it’s our own. However, we need the appropriate time to handle your individual project efficiently. This time cannot be rushed. If you attempt to rush our work or set expectations outside of our agreed-upon timeline, Odyssey Design Company is not responsible for any quality issues. We believe quality matters and so should you.
Compensation: Client agrees to pay Web Design Company 50% of the total project cost before any services are provided, and the remaining 50% is to be paid after the project is completed. The final payment is due prior to launching your website and any search engine optimization. Once the site is complete in terms of design and layout final payment is due. If the parameters of the Work change, or if it involves more time than estimated, Designer will inform Client and they can renegotiate the Work’s cost. Designer is responsible for the payment of all federal, state, and/or local taxes with respect to the services he performs for the client as an independent contractor. The Client will not treat the Designer as an employee for any purpose.
Below is the late fee schedule used for all contracts:
If you do not meet the agreed-upon project timeline deadlines, and it is no fault of Odyssey Design Co, the following late fees will apply:
- 60 days late – $250
- 90 days late – $500
- 120 + days late – $1000
Communication: All communications for your project will be kept inside our work platform and we will provide a shared folder for project files. We also use the following communication methods to conduct business and collaborate on your project: phone calls, text messages, scheduled zoom calls or emails. PLEASE NOTE: We will not accept any content, images, or changes via text messaging.
During your project phase communications will pick up and become more frequent to keep your project moving within the anticipated completion goal. Once your project is complete, communication might taper off. However, we will be available on a as needed basis to help all clients in the future. All project changes are accepted as requested. While we work hard to make these changes as soon as possible, please allow 2-5 business days to complete all updates and changes.
Client Approval: After sending a design we require feedback within the first 72 hours of delivery. This will help to keep your project on time. Upon acceptance of the Work, Client accepts responsibility for any further processes in which this work is used (e.g. film outpost, printing, etc.) Designer is not responsible for errors occurring in this work or projects related to this work after acceptance of the Work by the Client.
If you request extra work outside the scope of this agreement. Then please expect a quote for anything extra. As a new website develops it’s completely possible to need changes to the website plan. All agreed details for your project are outlined inside our agreement as a website package. Additional notice to new businesses. If you’re developing your company and need major changes past our initial agreements. Then please be willing to negotiate if it’s considered new or extra work. We do our best to accommodate all requests.
Cancellation: Both parties understand that Client or Designer may terminate the service at any time if, for any reason, the relationship is deemed unsatisfactory by either party.
Upon written or verbal cancellation, Client is responsible for payment for all expenses incurred and any work done towards the completion of the project based on the percentage of the project completed that is determined by Designer. Should Client cancel the project following its completion, Client is responsible for full payment as per the agreed upon estimate plus all expenses incurred. In the event of cancellation, Designer retains ownership of all copyrights and original work created.
If a contract is canceled during the process of building your new website, you agree to forfeit the deposit of your project total. If your reason for cancellation is that we cannot reach our workable arrangements, Odyssey Design Company is allowed a 3-attempt policy to remedy the issues before canceling is an option.
Acceptance of Terms: Client promises to pay for the services rendered by Designer for the Work as agreed upon. By signing below, Client agrees they have read, understood, and are considered legally bonded to these terms. Then, when your final payment has cleared, copyright will be automatically assigned as follows: You’ll own the visual elements that we create for this project. We’ll give you source files and finished files and you should keep them somewhere safe as we’re not required to keep a copy. You own all elements of text, images and data you provided, unless someone else owns them.
We love to show off our work and share what we’ve learned with other people, so we reserve the right, with your permission, to display and link to your project as part of our portfolio and to write about it on websites, in magazine articles and in books.
Finally, if any provision of this contract shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this contract and shall not affect the validity and enforceability of any remaining provisions.
Just like a parking ticket, you can’t transfer this contract to anyone else without our permission.
This contract stays in place and need not be renewed. If for some reason one part of this contract becomes invalid or unenforceable, the remaining parts of it remain in place. Although the language is simple, the intentions are serious and this contract is a legal document under exclusive jurisdiction of US courts.
AGREEMENT: Checking the “agree to terms and conditions” checkbox indicates that you accept the rules of hiring us to build a new website and or using our services. This agreement is legally binding.
